Terms of Service

• “Service” — the iverif.io website, applications and APIs operated by Thoughtseed.
• “Customer” — the entity that enters into a subscription agreement for the Service.
• “User” — any individual authorised by the Customer to use the Service.
• “Customer Content” — documents, data and other materials submitted to the Service by or on behalf of the Customer.

The Service is intended for business use by professional operators of energy subsidy programmes. You must be at least 18 and legally able to enter into a contract.

You are responsible for keeping your credentials confidential and for all activity under your account. Notify us immediately of any unauthorised use.

Subscription terms, pricing, billing frequency and any usage allowances are defined in the order form or written agreement signed between Thoughtseed and the Customer. Fees are payable in advance and are non-refundable except where required by law or expressly agreed in writing.

Thoughtseed may revise pricing for renewal periods with at least 30 days' notice before the renewal date.

You agree not to:

• reverse-engineer, decompile or attempt to extract the source code of the Service;
• resell, sublicense or make the Service available to third parties except as expressly permitted;
• upload content that is unlawful, infringing, defamatory, or contains malicious code;
• use the Service to compete with us, build a competing product, or benchmark for a competing product without our prior written consent;
• attempt to bypass usage limits, security controls or rate limits;
• submit personal data of EU/UK data subjects without a lawful basis or appropriate notices.

As between the parties, the Customer retains all rights, title and interest in Customer Content. The Customer grants Thoughtseed a worldwide, non-exclusive, royalty-free licence to host, process and transmit Customer Content solely to provide and improve the Service for that Customer.

When processing personal data contained in Customer Content, Thoughtseed acts as a data processor under the Customer's Data Processing Agreement. See our Privacy Policy.

We do not use Customer Content to train AI models for any party other than the originating Customer.

The Service, including its software, models, configurations, rules, validation logic, designs and documentation, is and remains the property of Thoughtseed and its licensors. No rights are granted other than those expressly set out in these Terms or the order form.

Customer feedback (suggestions, ideas) provided to Thoughtseed may be used by Thoughtseed without restriction or compensation.

We strive to provide a reliable Service. Specific availability targets, support response times and maintenance windows, where applicable, are defined in the Customer's order form or separate Service Level Agreement. Planned maintenance will be announced in advance.

These Terms remain in force as long as you use the Service. Either party may terminate a paid subscription:

• for convenience at the end of the then-current term, with the notice period defined in the order form;
• for material breach not cured within 30 days of written notice;
• immediately, if the other party becomes insolvent or initiates bankruptcy proceedings.

On termination, access to the Service ends. The Customer may request a copy of Customer Content in a standard format within 30 days of termination, after which it will be deleted in accordance with our retention policies and the Data Processing Agreement.

We warrant that we will provide the Service with reasonable skill and care and in accordance with applicable laws.

Except as expressly stated, the Service is provided “as is” without warranty of any kind, express or implied. Thoughtseed does not guarantee that the Service will be error-free, uninterrupted, or that the validation reports will catch every possible non-conformity. The Customer remains responsible for the accuracy and acceptability of dossiers submitted to authorities.

To the maximum extent permitted by law:

• Neither party is liable for indirect, incidental, special, consequential or punitive damages, or for loss of profits, revenues, data, or anticipated savings.
• Each party's aggregate liability arising out of or related to these Terms is capped at the fees paid by the Customer to Thoughtseed during the 12 months preceding the event giving rise to liability.
• Nothing in these Terms limits liability that cannot be limited under applicable law (such as gross negligence, wilful misconduct, or breach of confidentiality).

The Customer agrees to indemnify Thoughtseed against third-party claims arising from (i) Customer Content, (ii) the Customer's use of the Service in breach of these Terms, or (iii) the Customer's violation of applicable law.

Thoughtseed agrees to defend the Customer against third-party claims that the Service, as provided by Thoughtseed, infringes a valid intellectual-property right, subject to the limits set out above.

These Terms are governed by the laws of India, without regard to its conflict-of-laws principles. The courts of Bangalore, Karnataka, India have exclusive jurisdiction, except that either party may seek injunctive relief in any competent court.

Where the Customer is established in the EU/EEA, mandatory consumer-protection or data-protection rules of the Customer's country of establishment continue to apply.

• Entire agreement — these Terms, together with the order form and DPA, are the entire agreement between the parties.
• Severability — if any provision is held unenforceable, the remaining provisions remain in force.
• No waiver — failure to enforce a right is not a waiver.
• Assignment — neither party may assign without the other's consent, except in a merger, acquisition or sale of all or substantially all assets.
• Force majeure — neither party is liable for failure to perform due to events outside its reasonable control.

We may update these Terms from time to time. Material changes will be communicated by email or via the Service at least 30 days before they take effect. Continued use after the effective date constitutes acceptance.
